Terms and conditions

1. Scope

These terms and conditions apply to every quote, assignment and agreement between Fifth Quarter BV (Kattebrug 14, 9140 Temse, VAT BE 0787.444.416) and the client, unless agreed otherwise in writing. Deviations only apply if they have been confirmed in writing.

2. Quotes and agreement

Quotes are without obligation and valid for 30 days. An agreement is concluded once the client accepts the quote in writing.

3. Prices and payment

Prices are in euros and exclude VAT, unless stated otherwise. Unless agreed otherwise, we invoice an advance of 50% at the start and the balance on delivery. Invoices are payable within 30 days of the invoice date. In the event of late payment, interest and fixed compensation are due by operation of law and without notice of default, in accordance with the statutory provisions.

4. Performance of the assignment

Fifth Quarter delivers the services with due care and expertise. Recording days and workshops are scheduled by mutual agreement. The client provides the necessary information, access and cooperation in good time.

5. Cancellation and rescheduling

A scheduled recording day or workshop can be rescheduled free of charge up to 7 working days in advance. For cancellation or rescheduling within 7 working days we charge 50% of the day rate, within 48 hours or on the day itself 100%, in each case plus the costs already incurred.

6. Intellectual property and usage rights

The client obtains the usage rights to the delivered videos and other deliverables for the agreed purposes, after full payment. Fifth Quarter retains the right to use the work for its own promotion and portfolio, unless agreed otherwise in writing. Source files (raw footage, project files) remain the property of Fifth Quarter, unless agreed otherwise.

7. Liability

The liability of Fifth Quarter is limited to the amount of the assignment concerned. Fifth Quarter is not liable for indirect or consequential loss. Nothing in these terms excludes liability that cannot be excluded by law.

8. Complaints

Complaints about a delivery must be reported in writing within 8 days of delivery, by email to hello@fifthquarter.be.

9. Applicable law and competent court

Belgian law applies to every agreement. Disputes fall under the exclusive jurisdiction of the courts of the judicial district of East Flanders, Dendermonde division.
